Digital Product Usage and Limited License

Any and all materials, paid or free, that You access on this or any related domains are the sole property or licensed use of Clues & Co. Tax Solutions®.

You may not reproduce any part of Our product(s) or related communications, except as expressly permitted below.

License Grant

You are receiving a limited, non-transferable, non-exclusive, revocable license to access and use the content and materials in the products You have paid for or opted to receive, for use by You and one (1) business entity You own or operate ("Your Business").

You May

  • Access, download, and print Your purchases for use by You and Your Business.

  • Customize and complete the templates for Your Business's own internal records and operations.

You May NOT

  • Use Your purchases to provide services to clients or third parties, including tax, accounting, bookkeeping, or advisory services, without a Professional License.

  • Resell or trade Your access to Your purchases.

  • Share Your purchases with anyone who has not purchased them or opted in to receive them.

  • Reprint or republish any of Your purchases, in part or in whole, for public or third-party distribution.

  • Distribute any of the materials contained in Your purchases, or related materials and/or communications, as Your own, otherwise known as stealing.

  • Reproduce and modify any part or whole of Your purchases for distribution as Your own work.

  • Claim ownership of, or use, any of Our intellectual property without Our prior written consent. This includes, but is not limited to: copyrights, such as course materials, worksheets, workbooks, lessons, videos, and more; trademarks, such as names, logos, taglines, or other unique source identifiers; and trade dress, including the look and feel of any of Our offerings and their related communications and materials.

  • Use Our offerings or any related materials and/or communications in an unlawful way or for any illegal or unlawful purpose.

Professional License

Tax, accounting, bookkeeping, and advisory professionals who wish to use Our products with or for their clients must obtain a Professional License. To request one, contact admin@cluesandco.com.

Unauthorized Use and License Fees

If Your use of Our product(s) exceeds the scope of the license granted under this agreement, We reserve the right to resolve the matter by issuing an invoice for the appropriate license(s) based on Your use.

License fees are determined using Our standard licensing structure in place at the time of enforcement, taking into account factors such as:

  • the number of individuals who accessed or used the product;

  • whether the use was personal or commercial;

  • whether the product was shared, distributed, or reproduced; and

  • the duration and scope of the unauthorized use.

Unauthorized use may be subject to a multiplied license fee per instance of use, consistent with standard licensing practices. Standard license fees for Our products currently begin at $600, but the final amount owed will reflect the scope of the unauthorized use described above.

You will be notified of the amount due and given 30 days to remit payment to Clues & Co. Tax Solutions®. Upon payment, Your license may be reinstated at Our discretion. If payment is not received within that timeframe, We reserve the right to permanently revoke Your access to the product(s) and pursue additional legal action, including but not limited to injunctive relief and civil claims.
